Terms of Service
These terms are the agreement between you and YAS LLC, an Arizona limited liability company that operates Your AI Secretary at youraisecretary.co. They apply when you subscribe on youraisecretary.co or otherwise engage us for services.
By subscribing, you accept these terms.
1What we provide
We build, host, train and manage an AI agent for your business. A subscription to a channel includes an assessment of your business, a knowledge base written from your information, connection to your calendar and customer database, ongoing agent training, reporting, and ongoing knowledge base updates as described in section 8.
Website is the channel available today. Additional channels are priced separately when released.
The Website Redesign add-on is a separate service. It is quoted and billed after a planning conversation and your written sign off, not at checkout.
2Term, rollover and renewal
Subscriptions are sold on a 3, 6 or 12 month initial term, at the rate shown to you when you subscribe. That rate is fixed for your initial term.
Terms and pricing may also be agreed directly with us in writing outside the website. Where we do that, the written agreement controls and replaces these terms to the extent they conflict.
When your initial term ends, your subscription continues automatically, month to month, at our then current standard monthly rate for that channel, unless you renew at a new term or cancel. That rate is shown on our pricing page and on your order at checkout. We do not send a separate notice before the rollover takes effect.
We may change our published pricing and these terms at any time. A change does not affect the rate or the terms of a term you have already started. See section 17.
You may end a month to month subscription at any time with thirty days written notice. You may not end an initial term early.
3Fees and billing
Fees are charged monthly in advance, starting the day you subscribe.
Your first month pays for the build: assessment, knowledge base, connections and training. The work is front loaded even though the monthly price is level.
Payments are processed by our payment processor. We do not receive or store your card details.
Fees do not include sales or other taxes, which are added where required.
If a payment fails we may retry it and may suspend your agent until the balance clears. Suspension does not pause your term or your obligation to pay for it.
We may change prices for future terms. Your rate is fixed for the term you bought.
Charges appear on your card statement as YOURAISECRETARY or AISECRTARY.
4Cancellation
During your initial term, the subscription cannot be cancelled and runs to the end of the term.
After your initial term, while month to month, you may cancel with thirty days written notice using the Message Us form on this page. That final month covers winding your agent down cleanly.
On cancellation we remove your agent from your site and shut down its access to your systems.
5Refunds
Fees are not refundable, including for the initial term. Implementation is included in your monthly price rather than billed as a separate setup fee, which is why the initial term is committed.
If a failure on our side, or on one of the platforms described in section 10, takes your agent offline for a meaningful stretch, tell us. We will credit your account for the time it was down. We handle this case by case rather than by formula, and we will be fair about it.
6Your responsibilities
You agree to give us accurate information about your business and tell us when it changes, to hold the rights to any content you give us, to keep your own accounts secure (calendar, customer database, website), and to use the service lawfully. You will not use the service to send spam, deceive, harass, or collect information you are not entitled to.
You own the information in your knowledge base and approve it before your agent goes live. We are responsible for configuring your agent to answer from that approved information and for correcting it promptly when it strays. The agent can still produce an answer neither of us intended. When that happens, tell us and we will fix it, and we will keep working with you so the agent's tone and messaging stay aligned with how you represent your business.
7AI output
The agent generates answers using artificial intelligence. AI can be wrong. It can misread a question or produce an answer your knowledge base does not support.
You review and approve the agent before launch. We train, monitor and correct it on an ongoing basis.
We do not guarantee that every answer will be accurate, and we do not present the agent's output as professional advice of any kind. Do not configure the agent to give medical, legal, financial or safety critical guidance.
If the agent says something wrong, tell us and we will correct it.
8Knowledge base updates
Ongoing means anything where you hand us the information: hours, prices, services, promotions, corrections, documents. Simple edits go out the same or next business day.
Work where we would have to research or write the content ourselves is a separate scoped project, quoted before we start.
9Ownership
Your business facts and the content you give us remain yours.
The knowledge base structure, the agent instructions, the configuration and the prompts that make it perform are ours, including anything we develop while working for you. Nothing in this agreement transfers them to you.
Reports and analytics about your agent are yours to use.
We may describe our work in general terms as a case study or reference, without disclosing your confidential information, unless you tell us in writing not to.
If you cancel and want an export of your knowledge base content, we provide one for a flat fee of $500.
10Third party services
The service runs on third party infrastructure, including AI platforms, hosting, scheduling and payment providers. Their availability affects ours. We choose them, manage them and remain your single point of contact, but we are not responsible for their outages or their own acts and omissions.
11Confidentiality
Each side will keep the other's non public business information confidential and use it only to perform this agreement. This does not apply to information that is already public, was already known without obligation, or must be disclosed by law.
Your agent answers the public. Anything you give us for your knowledge base should be treated as information you intend to be public, because the agent may repeat it to anyone who asks. Do not give us confidential, internal, personal or regulated information to train on unless you have told us in writing to keep it out of the agent's answers. Deciding what is safe for your agent to say is your call, not ours.
12Availability
We aim for continuous availability. We do not commit to a specific uptime percentage. We may take the service down for maintenance and will give notice where practical.
13Disclaimer of warranties
The service is provided "as is". We disclaim all warranties not expressly stated in these terms, including implied warranties of merchantability, fitness for a particular purpose and non infringement.
We do not warrant that the service will produce any specific number of leads or bookings, or any particular business result.
14Limitation of liability
Neither side is liable to the other for indirect, incidental, special or consequential damages, or for lost profits or lost business, even if warned they were possible.
Our total liability for any claim is limited to the fees you paid us in the three months before the claim arose.
Nothing in this section limits liability that cannot be limited by law.
15Indemnity
You will defend and indemnify us against third party claims arising from the content you give us, from your use of the service, or from your breach of these terms.
16Suspension and termination
We may suspend or terminate the service immediately if you fail to pay, materially breach these terms, or use the service unlawfully. Termination on those grounds does not entitle you to a refund and does not cancel amounts owed for the rest of your term.
17Changes to these terms
We may update these terms. We will post the new version here with a revised date. Material changes take effect for you at your next renewal, not mid term. Continuing to use the service after that means you accept the change.
18Governing law and disputes
These terms are governed by the laws of the State of Arizona, without regard to its conflict of laws rules. Any dispute will be brought in the state or federal courts located in Maricopa County, Arizona, and both sides consent to that jurisdiction.
Before either side files anything, both agree to try in good faith to resolve the dispute directly for thirty days.
19General
These terms, together with the plan details shown to you at checkout, are the entire agreement between us and replace any earlier discussions.
If any provision is unenforceable, the rest stays in force.
Neither side may assign this agreement without the other's written consent, except as part of a merger or sale of substantially all of its business.
Neither side is the other's partner, agent, joint venturer or employee.
Our failure to enforce a provision is not a waiver of it.
